We are currently seeking a business law attorney with 3-5 years of experience to address the complex needs of our diverse client base, which ranges from startups to established corporations.

Job Description:

As a business law associate at Rupp Pfalzgraf, you will counsel clients on a broad array of legal matters including mergers and acquisitions, contract drafting and negotiation, business formation, and compliance issues. Your expertise will be pivotal in navigating the challenges our clients face in a dynamic business environment.

Key Responsibilities:

• Advise and represent clients in the formation of business entities and general business matters.
• Draft, review, and negotiate a wide range of legal documents related to corporate transactions including shareholders’ agreements, operating agreements, partnership agreements, buy-sell agreements, SaaS agreements, service contracts, commercial leases, etc.
• Support the firm’s mergers and acquisitions practice, including due diligence, drafting transactional documents, and assist with closing procedures.
• Negotiate and draft commercial contracts across a wide spectrum of firm clients, as well as assist on corporate compliance matters.
• Stay abreast of changes in laws that affect business clients, particularly those based in New York.
• Develop strategies for risk management and compliance protocols.
• Foster and maintain client relationships; ensure that all legal assistance is tailored to individual client needs.

Qualifications:

• Juris Doctor (JD) from an accredited law school.
• Admitted to practice law in the State of New York.
• 3-5 years of experience in business law, with a strong foundation in corporate transactions.
• Mergers and acquisitions experience preferred.
• Proven track record of individual initiative and successful handling of complex legal matters.
• Excellent analytical, negotiation, and communication skills.
• Detail-oriented with an ability to work autonomously and within a team.
• Proficiency in legal research platforms such as ChatGPT, Westlaw or LexisNexis.

Salary Range:

$115,000 – $150,000 per year based on skillset and experience.
