Ben brings a creative and analytical approach to every client engagement. Growing up as the son of a small businessman, he witnessed firsthand the challenges that businesses encounter — an experience that shaped his passion for combining creativity and structure to help clients navigate their most complex tests, whether that means finding opportunities for growth, planning for the future, or facing down a dispute.

  • Represented buyers and sellers in numerous lower middle market acquisitions and divestitures across manufacturing, technology, professional services, and consumer products, with deal values typically ranging from $5M to $80M+
  • Advised a leading North American solar panel manufacturer on long-term supply and co-development agreements with utility-scale developers, and on federal manufacturing tax credit compliance under Section 45X of the Inflation Reduction Act
  • Served as outside general counsel to a fourth-generation, family-owned regional food manufacturer with multi-state distribution, advising on commercial contracts, vendor and co-packer relationships, licensing, and dispute resolution
  • Represented a globally distributed, Certified B Corp consumer products brand — stocked in over 5,000 retailers worldwide — on corporate governance, equity compensation, IP protection, and commercial agreements

  • Represented one of Western New York's largest healthcare institutions in corporate governance matters, creditor enforcement actions, and multi-party disputes involving patient records, CLIA certification, and operational control of medical practices
  • Represented the buyer in a stock purchase agreement for the acquisition of a robotics and automation company, including working capital adjustments, earn-out provisions, seller financing, and post-closing employment arrangements
  • Advised private credit lenders and creditors in enforcement, commercial collection, forbearance, and judgment renewal proceedings across multiple jurisdictions
